Rockwell Collins faces $695M breakup fee with United sale

Rockwell Collins Inc. faces a $695 million breakup fee if it opts not to pursue or accepts a counteroffer to its proposed $30 billion sale to aerospace supplier United Technologies Corp. of Connecticut. Neither company would pay a fee if regulators block the cash and stock deal, which includes $7 billion in Rockwell debt. Iowa-based Rockwell employs about 1,600 at the Winston-Salem operations it acquired from B/E Aerospace this year.
